By accessing or using the Prompt Boost platform ("Service"), operated by Akii Technologies, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and Akii Technologies, LLC. Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

Prompt Boost is an AI Search Intelligence Platform that provides website analysis, AI model testing, visibility scoring, and optimization recommendations. Our Service includes:

• Website AI readiness scanning and analysis
• Multi-model AI testing and evaluation
• Visibility scoring and performance metrics
• Optimization recommendations and insights
• Monitoring and reporting capabilities
• API access and integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

To access certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. If you are creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Our Service is offered through various subscription plans with different features and usage limits. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described in your chosen plan
• Automatic renewal unless cancelled before the renewal date
• Immediate billing for upgrades and prorated credits for downgrades
• All fees are non-refundable except as required by law

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

You agree not to use our Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated tools to access the Service beyond API limits
• Reverse engineer, decompile, or disassemble our software
• Resell or redistribute the Service without authorization
• Use the Service for competitive analysis or to build competing products

Violation of this policy may result in immediate suspension or termination of your account.

Our collection and use of your data is governed by our Privacy Policy. By using our Service, you acknowledge that:

• We may collect and analyze website data you submit for analysis
• We implement industry-standard security measures to protect your data
• You retain ownership of your data and content
• We may use aggregated, anonymized data for service improvement
• You are responsible for ensuring you have rights to analyze submitted websites

The Service, including all software, algorithms, designs, and content, is owned by Akii Technologies, LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a license to use, process, and analyze such content solely to provide the Service.

We strive to maintain high availability and performance standards:

• Target uptime of 99.9% for paid plans (excluding scheduled maintenance)
• Scheduled maintenance will be announced with reasonable notice
• Emergency maintenance may occur without prior notice
• Service credits may be available for significant outages as outlined in your plan

This SLA does not apply to issues caused by factors outside our reasonable control, including third-party services, internet connectivity, or user error.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ACCURACY, COMPLETENESS, OR RELIABILITY OF ANALYSIS RESULTS
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

Our analysis and recommendations are for informational purposes only and should not be considered as professional advice. You are responsible for implementing any recommendations and their outcomes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKII TECHNOLOGIES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• LOSS OF DATA OR INFORMATION
• BUSINESS INTERRUPTION OR DOWNTIME
• COST OF SUBSTITUTE SERVICES

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Akii Technologies, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service in violation of these Terms
• Your violation of any applicable laws or third-party rights
• Content you submit to the Service
• Your negligent or wrongful conduct

Either party may terminate these Terms at any time:

• You may cancel your subscription through your account settings
• We may suspend or terminate your account for Terms violations
• We may discontinue the Service with reasonable notice
• Termination does not relieve you of payment obligations incurred before termination

Upon termination, your access to the Service will cease, and we may delete your account data after a reasonable retention period.

Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment may be entered in any court of competent jurisdiction.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Delaware.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.

These Terms constitute the entire agreement between you and Akii Technologies, LLC regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision does not waive our right to do so later.
